1. About these terms
These terms are an agreement between you and Clvrly ("Clvrly", "we", "us"). They apply when you create a Clvrly account, add the Clvrly assistant to a website (by embed code or by the Clvrly WordPress plugin), or otherwise use our service.
If you accept these terms on behalf of a business, you confirm you have authority to do so, and "you" means that business. Clvrly is a service for businesses and is not intended for consumers acting outside their trade.
Questions about these terms can be sent to [email protected].
2. The service
Clvrly provides an AI assistant that you place on your website. We read the public pages of your website, and any content you give us, and use it to answer your visitors' questions. You manage the assistant, view conversations and change settings in the Clvrly portal.
We keep improving the service, so features may change. If we remove something important to a paid plan, we will tell you in advance.
3. Your account
- You must give us accurate details and keep them up to date.
- Keep your password and your site token secure. You are responsible for activity under your account and for any website using your token.
- Tell us promptly at [email protected] if you think your account or token has been misused. You can regenerate your token in the portal.
- You may only add the assistant to websites you own or are authorised to manage.
4. Plans, free trial and billing
- Free trial. New customers on a paid plan get a 1-month free trial. You will not be charged until the trial ends. If you cancel before then, you pay nothing.
- Billing. After the trial, your plan renews automatically each billing period and is charged in advance to the payment method you provided. Payments are processed by Stripe; we do not see or store your full card details.
- Prices. Prices are shown on our website and in the portal, and exclude any applicable taxes unless stated. We will give you at least 30 days' notice of a price change, which takes effect from your next renewal.
- Usage limits. Each plan includes a monthly number of questions. This is a soft limit: if you go over it, your assistant keeps working. If you regularly exceed your plan, we may ask you to move to a plan that fits your usage.
- Cancelling. You can cancel at any time from the billing page in the portal. Your plan stays active until the end of the period you have paid for and does not renew after that.
- Refunds. Payments are non-refundable and we do not refund part-used billing periods, except where the law requires it or we agree otherwise in writing.
- Failed payments. If a payment fails, we will let you know. If it is still unpaid after a reasonable time, we may pause the assistant until it is paid.
5. Acceptable use
You must not use Clvrly, or allow it to be used, to:
- break any law, or infringe anyone's rights, including intellectual property and privacy rights;
- publish or promote content that is illegal, hateful, harassing, sexually explicit, or that deceives visitors;
- give medical, legal, financial or other professional advice that visitors would rely on without suitable human review and disclaimers;
- collect sensitive personal data (such as health information or payment card details) through the chat;
- send spam, or attempt to probe, overload, reverse engineer or get around the limits or security of the service;
- resell or white-label the service without our written agreement.
We may suspend an assistant that breaks these rules. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
6. Your content
You keep ownership of your website content, the material you upload and the conversations on your site ("your content").
You give us permission to read, copy, store and process your content only to provide, secure and support the service for you. That includes visiting and scanning the pages of the websites you connect. We do not use your content to train AI models for anyone else, and we do not sell it.
You confirm that you have the right to give us this permission, and that your content does not break the law or anyone else's rights.
7. AI answers
The assistant writes its answers automatically using AI, based on your content. AI can make mistakes: answers may be incomplete, out of date or wrong, particularly if your website content is unclear or out of date.
- You are responsible for the content the assistant draws on, for checking that it behaves suitably for your business, and for telling your visitors that they are talking to an automated assistant.
- Answers are not a binding offer or promise from you or from us, unless you choose to treat them as one.
- You can review conversations in the portal and adjust your content or settings to improve answers.
8. Data protection
Our Privacy Policy explains how we handle personal data.
When your visitors use the assistant on your website, you are the controller of their personal data and we process it on your behalf as your processor. For that processing, we will:
- only process the data on your documented instructions, which are these terms and the settings you choose, unless the law requires otherwise;
- make sure our staff are bound by confidentiality;
- keep the data secure with appropriate technical and organisational measures;
- only use the sub-processors listed in our Privacy Policy, under written terms that protect the data, and tell you before adding or replacing one so you can object;
- only transfer the data outside the UK or EEA with appropriate safeguards in place;
- help you respond to requests from visitors exercising their data protection rights, and with security, breach notification and impact assessments, as far as is reasonable;
- tell you without undue delay after becoming aware of a personal data breach affecting your data;
- delete or return the data when the service ends, unless the law requires us to keep it;
- give you the information you reasonably need to show you have met your obligations.
You are responsible for having a lawful basis for this processing and for telling your visitors about it, for example in your own privacy policy. The Clvrly WordPress plugin suggests wording you can add under Settings → Privacy.
9. The WordPress plugin
The Clvrly WordPress plugin is free software licensed under the GNU General Public License version 2 or later. That licence governs the plugin code itself. These terms govern your use of the Clvrly service that the plugin connects to.
The plugin sends your token, your site address and the plugin version to Clvrly to check your installation, and loads the assistant from clvrly.com on your public pages. It does not work without a Clvrly account.
10. Our intellectual property
We own the Clvrly service, software, branding and documentation. While your account is active, we give you a non-exclusive, non-transferable right to use the service for your own websites under these terms. If you send us feedback or suggestions, we may use them freely.
11. Availability and support
We aim to keep Clvrly available at all times but cannot promise it will be uninterrupted or error-free. We may need to carry out maintenance, and we rely on third-party providers for hosting, AI and payments. Support is available by email at [email protected].
12. Suspension and ending the agreement
- You can stop using Clvrly and close your account at any time.
- We may suspend or close your account if you seriously or repeatedly break these terms, do not pay, or if we must do so to comply with the law or protect the service or others. Except in urgent cases, we will give you notice.
- We may stop offering the service altogether by giving you at least 30 days' notice, and will refund any fees you have paid for the period after it stops.
- When your account closes, the assistant stops working on your websites. We will delete your content as described in our Privacy Policy.
13. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that:
- the service is provided "as is", and we do not give any promise that it will meet your particular needs or that AI answers will be accurate;
- neither of us is liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss;
- our total liability to you in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or £100 if greater.
You will cover our reasonable losses arising from claims by third parties that your content, or your use of the service in breach of these terms, infringes their rights or the law.
14. Changes to these terms
We may update these terms from time to time. If a change materially affects you, we will tell you by email or in the portal at least 30 days before it takes effect. If you do not agree, you can cancel before the change applies. The date at the top of this page shows when they were last updated.
15. General
- These terms are the whole agreement between us about the service.
- If any part is found to be unenforceable, the rest still applies.
- You may not transfer your rights under these terms without our agreement. We may transfer ours to a business that takes over the service, and will tell you if we do.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
